What investment services and advice can you provide me?

Harwick Securities is a broker-dealer registered with the SEC and FINRA. We offer brokerage services, including facilitating investments in private placements and special purpose vehicles (SPVs) such as Liftoff Partners Fund I, a pre-IPO SPV offering indirect exposure to SpaceX.

We do not provide ongoing investment advice or portfolio management. Our services are transaction-based, we assist you in evaluating and executing specific investment opportunities as they arise.

We offer our services to retail and institutional investors. There is no minimum account size, though individual offerings may have minimum investment thresholds (e.g., $500 for Liftoff Partners Fund I).

What fees will I pay?

Our compensation is primarily through fees charged at the offering level. For Liftoff Partners Fund I, the fee structure is as follows:

  • Carried Interest: 15% of net profits above your invested capital
  • Management Fee: 1% annually on invested capital
  • No upfront commissions or subscription fees charged directly to investors

These fees reduce the overall return on your investment. The more you invest, and the longer the hold period, the more fees may accumulate over time. You will pay fees and costs whether or not you make money on your investments. Please make sure you understand what fees and costs you are paying.

When we provide you with a recommendation, we must act in your best interest and not put our interests ahead of yours. When we offer you an investment, we must have a reasonable basis to believe it is in your best interest based on your investment profile.

As a broker-dealer, we are held to a Regulation Best Interest (Reg BI) standard. This means we consider your financial situation, investment goals, risk tolerance, and other factors before recommending any product.

We are not a fiduciary and do not provide ongoing advisory services. Our obligation applies at the time of a recommendation or transaction.

Conflicts of interest: Our financial professionals are compensated based on transactions completed. This creates an incentive to recommend investments that generate fees. We mitigate this conflict by disclosing all fees upfront and ensuring all recommendations meet our Reg BI obligations.
